Terms of Service (TheFlashMate)

These Terms of Service ("Terms") govern your access to and use of TheFlashMate's software, websites, and related services (collectively, the "Service"). By creating an account, downloading, installing, or using the Service, you agree to these Terms.
1) Provider and contact
The Service is provided by TheFlashMate ("we", "us", "our").

2) The Service
TheFlashMate is a learning tool for memorizing facts, vocabulary, and similar content. The Windows desktop application displays learning prompts (including watermark-style overlays) and can synchronize learning progress across your devices through your account.
The Service is software-only. No human-delivered or human-operated services.
The Service may evolve over time, including adding, modifying, or removing features.
3) Eligibility and accounts
- You may use the Service if you can legally enter into a binding agreement in your jurisdiction.
- The Service is not specifically directed to children. If you are under the age at which parental consent is required for online services in your country, you must have a parent/guardian's permission to use the Service.
- You may have one account. You must provide accurate information and keep your credentials secure.
- You are responsible for all activity under your account.
4) Password reset and account security
Password reset is available via email using a time-limited token (approximately 15 minutes). You must notify us promptly if you suspect unauthorized access to your account.
5) Subscriptions, billing, refunds, and payments
Subscriptions are offered on a monthly or yearly basis. You may cancel at any time.
Payments and billing are handled by Paddle (our payment partner), who acts as the Merchant of Record. Paddle processes payments, handles applicable taxes/VAT, and provides billing documentation. Your purchase and payment may also be subject to Paddle's terms and checkout policies.
Cancellation and access
- If you cancel, you will retain access until the end of the current paid period.
- If a payment fails or is late, access may be temporarily limited. We may allow a grace period of up to 48 hours to resolve payment issues, after which access may be suspended until payment is successfully processed.
Refunds
- You may request a full refund within 14 days of your initial purchase or renewal, provided you have not violated these Terms.
- Refund requests must be submitted via support@theflashmate.com (and may be processed through Paddle).
- Where mandatory consumer law provides additional rights, those rights remain unaffected.
No trial
Unless explicitly stated at checkout, there is no free trial.
Price changes
We do not plan to increase prices. We may run temporary discounts (e.g., Black Friday). Any changes that materially affect your subscription will be communicated through reasonable means.
6) License and permitted use
Subject to your compliance with these Terms and an active subscription, we grant you a limited, personal, non-exclusive, non-transferable license to use the Service.
Subscription scope: one user, multiple devices.
Account sharing is not allowed.
7) Prohibited conduct
You agree not to:
- Share your account or allow others to use it.
- Reverse engineer, decompile, disassemble, or attempt to derive source code (except where the law explicitly permits).
- Bypass, disable, tamper with, or defeat licensing/entitlement checks or security features.
- Use the Service for fraud, abuse, unlawful activity, or to interfere with others' use of the Service.
- Attempt to access systems or data you are not authorized to access.
8) User content
You may add and use your own learning content. You retain ownership of your content. We do not publish your private learning content to other users.
To operate the Service (e.g., syncing across devices), you grant us a limited right to host, process, transmit, and store your content and progress as necessary to provide the Service.
9) License checks and connectivity
The desktop app performs a license/entitlement check approximately every 24 hours. If the Service cannot validate entitlement (e.g., expired subscription, prolonged failed payments beyond any grace period, or technical issues), access may be limited until validation succeeds.
10) Suspension and termination
We may suspend or terminate access to the Service or your account if we reasonably believe:
- you engaged in non-payment, fraud, abuse, chargebacks, or violations of these Terms; or
- we must do so to comply with law or protect the Service.
You may stop using the Service at any time. You may request account deletion by contacting support.
11) Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
The Service is intended for educational/learning purposes only. Learning results depend on your effort, consistency, and study habits. We do not guarantee outcomes.
12) Limitation of liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.
- Our total liability for any claim relating to the Service will not exceed the amounts you paid for the Service in the 12 months preceding the event giving rise to the claim (or, if none, a minimal amount as required by law).
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted.
13) Changes to these Terms
We may update these Terms from time to time. If changes are material, we will make reasonable efforts to notify you (for example, by email or in-app notice). Continued use after the effective date of updated Terms constitutes acceptance.
14) Governing law and courts
These Terms are governed by the laws of Denmark, without regard to conflict-of-law rules. Any disputes will be subject to the exclusive jurisdiction of the courts of Denmark, unless mandatory consumer law requires otherwise.
